Risk notice. Smart contracts are audited by Soken (PASS, 91/100), but an audit is not a guarantee of safety. A per-address deposit cap applies while TVL grows. You may lose your funds. Use at your own risk.

1. Acceptance

By accessing or using Apyee (the “Service”) — including the website at apyee.com, the Apyee Vault smart contracts, and any related interfaces — you agree to these Terms. If you do not agree, do not use the Service.

2. What Apyee is

Apyee is a non-custodial stablecoin yield aggregator. The Apyee Vault is a set of audited smart contracts (Soken, PASS 91/100) that deposit USDC into established DeFi lending protocols (Aave, Compound, Morpho, Fluid, and others) and rebalance allocations based on yield.

  • You retain control of your wallet. We cannot access, move, or freeze your funds.
  • Withdrawals are permissionless and execute directly against the vault contract. No approval from us is required.
  • Our backend (Keeper) submits operational transactions (rebalance, harvest, emergency withdraw) per rules defined in the vault contract.

3. Staged rollout

While the Service is in staged rollout:

  • Smart contracts are audited by Soken (PASS, 91/100). An audit reduces risk but is not a guarantee of safety.
  • A per-address deposit cap applies while TVL grows — see the Deposit page for the current value.
  • Features and APYs may change without notice.
  • You should treat the Service as experimental and only deposit funds you can afford to lose.

4. Risk disclosure

You acknowledge and accept the following risks:

  • Smart contract risk. Bugs or exploits in the Apyee Vault or underlying protocols (Aave, Compound, Morpho, Fluid, etc.) can result in total or partial loss of deposits.
  • Stablecoin depeg. USDC or other stablecoins may lose their peg to the US dollar, reducing the value of your deposit.
  • Underlying protocol risk. Strategies depend on third-party lending protocols. Pauses, insolvency, oracle failure, or governance attacks on those protocols can affect your funds.
  • Network & RPC risk. Blockchain reorgs, congestion, or RPC outages may delay transactions or display stale data.
  • Keeper risk. Our Keeper service signs operational transactions. Key compromise, downtime, or software bugs could lead to missed rebalances or failed emergency withdrawals.
  • Regulatory risk. DeFi is an evolving regulatory landscape. New laws may restrict access or affect the value of deposited assets.
  • Market risk. APYs are variable. Past performance does not predict future returns.

5. Fees

Apyee charges a 15% performance fee on profits only. There is no fee on principal, no withdrawal fee, and no deposit fee. The performance fee is collected via share-price dilution at the next Keeper harvest cycle (typically daily) and accrues to the protocol treasury.

6. Not financial advice

Nothing on the Service constitutes financial, investment, legal, or tax advice. APY estimates, risk grades, and allocation recommendations are informational only. You are solely responsible for evaluating whether a strategy is suitable for your circumstances and for complying with applicable laws in your jurisdiction.

7. Eligibility & restrictions

You represent that you are of legal age in your jurisdiction and not a person or entity:

  • Located in or a national of a country subject to comprehensive sanctions (including but not limited to North Korea, Iran, Syria, Cuba, Crimea region).
  • On any government sanctions list (OFAC SDN, EU consolidated, UK HMT, UN Consolidated, etc.).
  • Otherwise restricted by applicable law from using DeFi services.

You agree not to use the Service for money laundering, terrorism financing, fraud, or any unlawful purpose.

8. Your responsibilities

  • Keep your wallet, private keys, and seed phrases secure. We cannot recover lost keys.
  • Verify transaction details in your wallet before signing.
  • Comply with tax reporting requirements in your jurisdiction. We provide informational reports only.
  • Maintain accurate information for any alerts you opt in to.

9. Intellectual property

The Apyee name, logo, website design, and content are owned by Apyee. Smart contract source code released under an open-source license is governed by the terms of that license. You may not copy our trademarks or use them to imply endorsement.

10. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranty as to APY, uptime, or freedom from bugs.

11. Limitation of liability

To the maximum extent permitted by law, Apyee and its contributors are not liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of funds, profits, data, or opportunity, arising out of or in connection with your use of the Service.

Where liability cannot be excluded, our total cumulative liability is limited to fees you have paid to Apyee in the prior 12 months, which is typically zero on principal (the performance fee applies only to profit).

12. Indemnification

You agree to indemnify and hold Apyee harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or violation of any law.

13. Changes to the Service or Terms

We may modify or discontinue any part of the Service at any time. We may update these Terms; material changes will be noted at the top of this page with a new “Last updated” date. Continued use after a change means you accept the updated Terms.
